1. Agreement to Terms

By downloading, installing, or using the Cadence mobile application ("App"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not access or use the App.

These Terms constitute a legally binding agreement between you and Cadence ("we", "our", or "us"). Please read them carefully before using our services.

2. Description of Service

Cadence is a cycling application that provides:

• GPS-based ride tracking and route recording
• Cycling statistics, analytics, and personal records
• Social features including group rides, following users, and activity feed
• Segment leaderboards and competitive features
• Bike management and maintenance tracking
• Achievement system and progress tracking
• Live location sharing during group rides

The App uses GPS, motion sensors, and other device capabilities to track and record your cycling activities.

3. Eligibility

You must be at least 13 years old (or 16 in certain jurisdictions) to use the App. By using the App, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

If you are under 18 years old, you represent that you have your parent's or legal guardian's permission to use the App and that they have read and agreed to these Terms on your behalf.

4. Account Registration

To access certain features of the App, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Promptly maintain and update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You may not create an account for another person without their permission, and you may not create multiple accounts for deceptive purposes.

5. Acceptable Use Policy

You agree to use the App only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Violate any applicable local, state, national, or international law or regulation
• Infringe or violate the intellectual property rights or privacy rights of third parties
• Upload, post, or share content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Harass, bully, stalk, threaten, or intimidate other users
• Impersonate any person or entity, or falsely claim affiliation with any person or entity
• Manipulate rankings, achievements, or statistics through fraudulent means
• Use automated scripts, bots, or other means to access the App
• Interfere with or disrupt the integrity or performance of the App
• Attempt to gain unauthorized access to the App or its related systems
• Collect or harvest any information about other users without their consent
• Use the App for any commercial purpose without our prior written consent

6. User Content

6.1 Your Content

You retain ownership of all content you create, upload, or share through the App, including ride data, photos, comments, and posts ("User Content"). By sharing User Content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, and display your User Content in connection with the operation and improvement of the App.

6.2 Content Responsibility

You are solely responsible for your User Content. You represent and warrant that you own or have the necessary rights to share your User Content and that it does not violate the rights of third parties or these Terms.

6.3 Content Removal

We reserve the right, but not the obligation, to review, remove, or disable access to any User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable.

7. Safety Notice and Disclaimer

By using the App, you agree to:

• Prioritize safety: Always focus on the road and your surroundings. Never let the App distract you while riding
• Do not operate your device while moving: Stop safely before interacting with the App
• Obey all traffic laws: Follow all applicable traffic laws, regulations, and traffic signals
• Wear safety gear: Always wear an appropriate helmet and proper safety equipment
• Check your equipment: Ensure your bicycle is in safe and working condition before each ride
• Be aware of conditions: Consider the weather, road conditions, and your physical fitness before riding
• Do not rely solely on the App: The App is not a navigation device. GPS accuracy may vary

CADENCE IS NOT RESPONSIBLE FOR ANY INJURIES, ACCIDENTS, OR DAMAGES THAT MAY OCCUR DURING YOUR CYCLING ACTIVITIES. YOU USE THE APP AND PARTICIPATE IN CYCLING ENTIRELY AT YOUR OWN RISK.

8. Intellectual Property Rights

The App and all of its content, features, and functionality (including but not limited to all information, software, text, displays, images, graphics, video, audio, design, selection, and arrangement) are owned by Cadence, its licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You are granted a limited, non-exclusive, non-transferable, and revocable license to use the App solely for your personal, non-commercial use. You may not:

• Copy, modify, or distribute the App or its content
• Reverse engineer, decompile, or disassemble the App
• Remove any copyright or proprietary notices
• Transfer the App or your license to another person
• Use the App for any commercial purpose without our consent

9. Third-Party Services

The App integrates with third-party services including:

• Google Maps for map display and route visualization
• Firebase for data storage, authentication, and analytics
• Apple and Google services for push notifications
• Social authentication providers (Google, Apple Sign-In)

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the content, privacy practices, or actions of these third parties.

10. Subscriptions and Payments

10.1 Cadence PRO

Cadence offers a premium subscription ("Cadence PRO") that unlocks advanced features such as Virtual Power, AI Coach, Live Camera, Training Plans, Smart Maintenance, and others. Cadence PRO is available as a monthly or annual subscription with automatic renewal.

10.2 Automatic Renewal

Subscriptions are automatically renewed unless automatic renewal is turned off at least 24 hours before the end of the current period. Payment will be charged to your iTunes account (iOS) or Google Play account (Android) upon confirmation of purchase.

10.3 Cancellation

You can manage and cancel your subscriptions at any time through your account settings in the App Store (iOS) or Google Play Store (Android). Cancellation takes effect at the end of the current billing period. No refunds are provided for unused partial periods, except as required by applicable law.

10.4 Free Trial Period

Cadence may offer a 15-day free trial period for new users. The free trial is limited to once per user and per device. At the end of the trial period, you may choose to subscribe to Cadence PRO or continue using the free version with limited features.

10.5 Paid Training Plans

Content creators may sell training plans through the App. Payments are processed via Stripe. The platform retains a service fee on each transaction. Training plan purchases are non-refundable after the content has been accessed.

10.6 Price Changes

We reserve the right to change subscription prices. Any price changes will take effect on the next renewal cycle after notice. You will be notified in advance of price changes and may cancel before the new price takes effect.

11. Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the App, you consent to our collection and use of your information as described in the Privacy Policy.

12. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT
• WARRANTIES THAT THE APP WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
• WARRANTIES AS TO THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY INFORMATION
• WARRANTIES AS TO GPS ACCURACY (which varies based on device, location, and conditions)

WE DO NOT WARRANT THAT THE APP WILL MEET YOUR REQUIREMENTS OR THAT ANY DEFECTS WILL BE CORRECTED.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CADENCE, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• ANY DAMAGES RESULTING FROM YOUR USE OF OR INABILITY TO USE THE APP
• ANY DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
• ANY PERSONAL INJURY OR PROPERTY DAMAGE RELATED TO YOUR CYCLING ACTIVITIES

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU HAVE PAID US IN THE LAST TWELVE MONTHS, OR R$500, WHICHEVER IS GREATER.

14. Indemnification

You agree to defend, indemnify, and hold harmless Cadence and its affiliates, directors, officers, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including attorney's fees) arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of the rights of third parties
• Your User Content
• Your cycling activities

15. Account Termination

We may suspend or terminate your account and access to the App at any time, with or without cause, and with or without prior notice, including if we believe you have violated these Terms.

You may delete your account at any time through the App settings. Upon termination:

• Your right to use the App will cease immediately
• We may delete your account and User Content
• Provisions that are intended to survive termination will remain in effect

16. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the "Last updated" date and, where appropriate, providing notice through the App or by email.

Your continued use of the App after any changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the App.

17. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of Brazil, including the Consumer Defense Code and the Brazilian Internet Civil Framework, without regard to its conflict of laws principles.

Any disputes arising out of or relating to these Terms or the App shall first be attempted to be resolved through good-faith negotiation. If such efforts are unsuccessful, disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction.

18. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Cadence with respect to the App
• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction
• No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights
